
Vivian A. Maese is a senior executive, a lawyer and a business woman with more than 20 years of experience on Wall Street and in the financial community. She is particularly well-versed and interested in markets, technology and entrepreneurship. Throughout her career, she has been active in the legal community and in charitable organizations.
Ms. Maese is a Managing Director at Morgan Stanley, a global financial services company that provides its products and services to a diversified group of clients and customers including corporations, governments, financial institutions and individuals. At Morgan Stanley, she leads the Global Workforce Strategy and Solutions team. The team works with all Morgan Stanley business units and support functions around the world, identifying strategic workforce opportunities and implementing plans that enhance the profitability of the company worldwide.
Prior to joining Morgan Stanley in 2010, Ms. Maese served as the General Counsel and Corporate Secretary of BIDS Trading, LP, a broker/dealer operating as an Alternative Trading System regulated by the Securities and Exchange Commission (SEC) and backed by Morgan Stanley, The Bank of America, Citibank, Credit Suisse, Deutsche Bank, Goldman Sachs, JP Morgan Chase, Knight Capital Group, Lehman Brothers, NYSE Euronext and UBS. At BIDS Trading, she provided strategic leadership and legal counsel to the firm and its board of directors. She was also responsible for regulatory compliance, risk management, intellectual property, human resources, and corporate governance matters. She participated in all aspects of the business, and prepared formal comments on important market structure rules promulgated by the SEC. She reduced outside counsel expenses, implemented competitive procurement methodologies and concluded a successful round of investment funding. During this period, Ms. Maese also served on the General Counsel’s Committee of the Securities Industry and Financial Market Association (SIFMA).
Before BIDS Trading, Ms. Maese was a Senior Vice President at NYSE/Euronext where she worked on rulemaking related to modernizing the national market system. She was a frequent advocate for the NYSE in Washington, D.C. She also handled the NYSE’S Wombat acquisition, and the formation of the New York Block Exchange, a joint venture between the NYSE and BIDS Trading, LP.
Ms. Maese began her career as a lawyer at Salomon Brothers, Inc. as one of the first lawyers on Wall Street to cover technology and intellectual property issues. Through a series of mergers Salomon Brothers became a part of Citigroup. She earned increasing levels of responsibility and ultimately became a Managing Director and Deputy General Counsel of Citigroup covering the technology and intellectual property issues for all Citigroup’s corporate lines of business. She has wide-ranging experience with strategic transactions, Joint Ventures, Mergers and Acquisitions, well as bank and securities regulatory issues, privacy, anti-money laundering, foreign corrupt practices, information security and disaster recovery. In addition to her corporate responsibilities, Ms. Maese was asked to serve as General Counsel of Citigroup’s Global Transaction Services, a business unit generating $4 billion in annual revenue servicing corporate clients in over 100 countries. In that capacity, she handled a very broad range of complex legal, strategic, transactional, litigation, relationship and policy matters around the world.
Ms. Maese has served on the Board of the New York City Health and Hospitals Foundation, the Ms. Foundation Advisory Board and the Board of the ACCA of Greater New York. She was a founder and the Chair of the Wall Street Computer Law and Intellectual Property Roundtable. She has also been a member of SIFMA’s Technology and Regulatory Committee, and Chair of the Patent Committee. As a member of the New York State Bar Association, she has served on the Computer Law Committee, on the Executive Committee of the Business Law Section, and on the Women in Law Committee. She has also served on the Patent Law Committee of the Association of the Bar of the City of New York.
Ms. Maese is a graduate of Hunter College and Brooklyn Law School and has been admitted to practice in the State of New York, Federal District Court, and the Supreme Court of the United States.
