Assisted private equity and hedge fund sponsors such as DLJ, Credit Suisse, JP Morgan and Morgan Stanley in achieving business goals while assuring compliance with federal and state regulatory requirements by analyzing, structuring and drafting the economic and legal terms of partnership and limited liability company agreements, including the structuring of employee investment funds and carry plans.

Advised institutional investors such as Marsh McLennan Pension Trust, Spectrum Value Management and Royal Bank of Scotland Pension Trust on their proposed investments in alternative investment vehicles.Structured credit facilities for hedge funds and funds of hedge funds for clients such as BNP Paribas.

Advised placement agents for alternative investment vehicles such as Morgan Stanley and Deutsche Bank.

Domestic and International Capital Markets – Sovereign debt financing and restructuring

• Helped structure and implement financing plans for investment grade and troubled sovereign credits
  Co-counsel to the Bank Creditor Committees for Argentina and Mexico Lead bank attorney on the Mexican Aztec Bond transaction
• Worked with the IMF, various regulatory authorities and banks from numerous jurisdictions on plans to refinance the external debt of Argentina and Mexico
• Prepared and negotiated the documentation for numerous financings for Canada, Canadian Crown Corporations and Canadian Provinces (Export Development Corporation, BC Hydro, Petro Canada, Province of Alberta, Eldorado Nuclear), Commonwealth of Australia, Kingdom of Spain, ICO (Spanish Export Bank), French governmental agencies
