Kathleen F. Burke is Executive Vice President, General Counsel and Secretary of MKS Instruments, Inc. (NASDAQ: MKSI), a global provider of leading edge technology solutions to the semiconductor, advanced electronics and specialty industrial industries.  She has extensive experience in mergers and acquisitions, regulatory compliance, corporate governance, and crisis and risk management in a global market. Ms. Burke is a key executive team member overseeing the strategic direction of MKS, which has grown from $337m in annual revenues to approx. $4b during her tenure.

Ms. Burke has led MKS through crisis events, including a significant cybersecurity incident, geopolitical crises and public and investor relations matters. She oversees global compliance programs including global trade compliance and anticorruption.  Since joining MKS, Ms. Burke has led the execution of over twenty strategic acquisitions, including the acquisition of Atotech Ltd. for $5+ billion in 2021.

Ms. Burke has participated in MKS Board and Committee meetings since 2005, has and has extensive experience advising on corporate governance matters.  She serves as a board member on most of MKS’s 100+ wholly owned subsidiaries.  She served as a member of the Board of Directors of the Association of Corporate Counsel’s Northeast Chapter from 2009 to 2020, and was its Chair from 2011 to 2013.  She previously served on the Board of Directors of the New England Center for Children as well as the Massachusetts Society for the Prevention of Cruelty to Children.

Ms. Burke served for a decade at WilmerHale LLP (previously Hale and Dorr LLP), advising clients on regulatory compliance, M&A, public and private equity and debt offerings, corporate governance and public disclosure.

Ms. Burke graduated from Boston College Law School magna cum laude and from Boston College summa cum laude.
