Ms. Fitzgerald is a highly versatile business leader having deep experience with global technology companies of varying sizes in the automotive retail and OEM, financial, healthcare and data center/cloud markets encompassing a wide range of technologies, including AI, biometrics, security, storage, networking, virtualization, and digital marketplaces. She is an expert in guiding dynamic growth environments to scale by navigating the opportunities and challenges arising from the intersection of technology, finance, operations, GTM, data, and legal grounded in global business, technology/AI, operations and merger and acquisition proficiencies.
During her career at leading technology companies, Ms. Fitzgerald has leveraged her unique business, legal and technical background, to drive growth, in part, through transitions into new business models and market verticals. As a strategic leader and advisor, Ms. Fitzgerald has participated in over 30 acquisitions and divestments, including leading a global carveout and sale of a $400M imaging business, plus a $1B carveout and spinout of an integrated automotive business unit across 14 countries into a publicly traded entity.
She is currently at ACV Auctions Inc. (ACVA: NASDAQ), the industry leader with its digital marketplace and data solutions for sourcing, selling, and managing used vehicles with transparency and comprehensive insights, reporting to the CEO as an executive officer and is a member of the company’s Executive Leadership Team, as Chief Legal Officer. Her role encompasses leading ACV’s legal, governance and compliance functions, providing advice and counsel on executive and director compensation programs, international expansion, and spearheading the company’s enterprise risk management program. Separate from legal, her extensive operational and financial responsibilities extend to leading the companies’ procurement, equity administration, real estate and facilities and fraud organizations in support ACV’s three pillars – growth, innovation, and scale. She is deeply engaged on a wide range of topics, including corporate development and strategy, investor relations and commercial operations. She is an executive sponsor of ACV’s M&A activity and has been a driver in operational strategy to support ACV’s growing commercial vertical by leading the anti-competition strategy to secure critical middleware for the vertical, and by pro-actively developing the land strategy to support the same. Under her leadership the company has gone from 1 to 10 multi-acre locations in an accelerated period to support the TAM expansion. She is also scaling the procurement function as part of the company’s continued drive to profitability. Ms. Fitzgerald also developed the company’s fraud prevention function, reducing bad-debt risk and enabling financial recovery when events occur.
Previously, Ms. Fitzgerald served as Senior Vice President General Counsel at Cerence Inc. (CRNC: NASDAQ), a leading global provider of voice enabled AI-powered interactions between humans and their vehicles, reporting directly to the CEO. Ms. Fitzgerald led shareholder engagement and worked directly with the board on matters pertaining to the CEO including an unexpected CEO transition. Earlier at Nuance Communications, Inc. she participated in over 25 acquisitions in the US and globally, developed world-class intellectual property and privacy programs to bolster the company’s AI research program, and successfully responded to a major cybersecurity incident and an FTC investigation, with the latter’s success being premised on a data use framework for the development of AI-based language and acoustic models Earlier at EMC Corporation, Ms. Fitzgerald assumed roles of increasing responsibility in a variety of areas including collaborating on the creation of a $1B+ indirect channel and developing an IP portfolio which collected over $1B in licensing revenue.
Ms. Fitzgerald has an engineering degree from the University of Massachusetts-Amherst and a Juris Doctor degree from the University of New Hampshire, Franklin Pierce Law Center.
