Royce Warrick is a C-Suite executive and strategic business advisor with extensive multi-national experience in highly-regulated industries, and a deep background in driving enterprise value-enhancement through sophisticated M&A transactions and integrations, solutions-focused business collaboration, regulatory/compliance oversight and risk/crisis management. She has a track record of driving transformative organizational change, corporate culture enhancement and process optimization in global enterprises.
Beyond her executive and business advisor roles, Ms. Warrick’s experience includes extensive board of director experience and engagement, as well as boardroom and governance experience spanning large private equity-owned, publicly-traded and non-profit enterprises.
Ms. Warrick serves as Senior Vice President, General Counsel, Corporate Secretary and Chief Compliance Officer for Solenis, a private equity-backed $7+ billion leading global producer of advanced chemical and equipment solutions for consumer, industrial, institutional, food and beverage, and recreational pool and spa water markets. Solenis operates in 130 countries, with a team of 16,000 employees. She is a member of Solenis’ Senior Leadership Team (top 13 executives), Leadership Council, Disclosure Committee, Equity Committee and Benefits Fiduciary Committee. Warrick established the GC role and legal department at Solenis at the company’s inception in 2014, and she continues in the role today, leading a team of 30 legal professionals in nine countries. She is responsible for the overall management, strategic direction and execution of Solenis’ global legal, intellectual property, compliance, regulatory, data privacy, information technology/security, finance, litigation and HR/employment/benefits legal affairs. Warrick is also accountable for the multinational enterprise’s M&A/integration legal (25 transactions in 10 years) and risk/crisis management functions, and is a strategic business partner focused on collaborating with commercial leaders to drive growth and enhance enterprise value through organic growth (e.g., commercial sales/marketing execution, intellectual property management). Also a panelist and advocate in the area of diversity, equity and inclusion, Ms. Warrick is a strategic partner with the company’s SVP Chief Human Resources Officer and VP of Diversity, Equity & Inclusion/DE&I. She and her legal team play a pivotal role in Solenis’ ESG and sustainability strategy and framework.
Prior to joining Solenis, Warrick served as Assistant General Counsel and Global Corporate Legal Director overseeing legal affairs of strategic business units at major specialty chemical enterprises, The Dow Chemical Company and Rohm and Haas Company where she was responsible for M&A/Integration, corporate secretarial/board governance, JV board operations and governance, legal-business collaboration, ethics and compliance, EH&S, crisis management, litigation and employment/labor/benefits. She began her legal career as a litigation attorney.
Ms. Warrick is Corporate Secretary and a member of the Board of Directors and Executive Committee of the American Migraine Foundation. She is also a member of the National Association of Corporate Directors, Advisory Council of Villanova University’s Anne Welsh McNulty Institute for Women’s Leadership and the Duke University Alumni Admissions Advisory Committee. Warrick is also an active member of her community where she is a founding leader of her church’s College Prep Ministry; a member of Delta Sigma Theta Sorority Inc. (a national public service organization); a founder and trustee of the Roy Blair Paige Foundation, a non-profit organization, the mission of which is to enrich the development of servant-leader youth committed to community-uplift; and a mentor to young women and men across various industries. Warrick’s business acumen and experience managing complex and transformative initiatives were recognized in her being named in 2024 to the Women of Admire Top 50 Women Leaders of Delaware for 2024.
Warrick received her Bachelor of Arts degree from Duke University and her Juris Doctor degree from Villanova University Charles Widger School of Law.
