SUSAN MARSCH is an accomplished C-suite executive and Board member with 25 years’ experience working with a variety of Fortune 500 and other multinational companies with large global operations in diverse industries that include technology, manufacturing, mobile devises, supply chain management, telecommunications and financial services. A proven leader of successful enterprise-wide initiatives, she has significant international experience structuring and leading sizeable corporate transactions and transforming operations globally.  She has lead mergers and acquisitions, divestitures and business strategic plans around the globe. While she has conducted business in more than 30 countries, she has extensive familiarity with doing business in China, India and Europe. She brings deep corporate governance experience and high financial acumen to her extensive work with corporate boards and their related committees (including audit, nominating and corporate governance and compensation). She has served in executive leadership roles for 20+ years, including the role of General Counsel for three public and two venture capital-backed companies.

Ms. Marsch was most recently on the executive team at Flex Ltd., a global Fortune 500 supply chain solutions and contract manufacturing company with $24B annual revenues, 200,000+ employees worldwide and operations in 30+ countries. She oversaw all corporate and Board-related matters, including, strategic planning, mergers and acquisitions, shareholder activism, data privacy, cybersecurity, global governance and executive compensation. As a member of the CEO’s Acquisition Committee, she provided tactical input on the review and structure of the acquisitions and divestitures occurring globally.

Ms. Marsch was a key member of the team leading transformation for Flex, including the formation and spin off of a SaaS start-up focused on mitigating supply chain problems. She continued as Director of Elementum Holdings Ltd, its holding company, and established an innovative equity incentive structure to drive revenue to the start-up.

Prior to Flex, Ms. Marsch was Senior VP, General Counsel and Chief Ethics Officer at UTStarcom, Inc. (NASDAQ:UTSI), a $2.5B global leader in IP-based networking telecommunications and mobile device manufacturing and distribution. Supporting the Company’s significant business operations in China, Ms. Marsch oversaw a large team in Hangzhou and traveled quarterly to China for three years. She also oversaw worldwide corporate and legal affairs, advised management and the Board on strategic and corporate governance matters, managed an extensive patent portfolio of 3,000+ patents worldwide and led corporate integrity and internal investigations. She implemented new compliance programs that mitigated extensive FCPA issues for the Company.

Prior to UTStarcom, Ms. Marsch served as Vice President, General Counsel and Corporate Secretary at several California-based technology companies, including Redback Networks ((NASDAQ:RBAK), an international telecommunications equipment provider sold to Ericsson); AltaVista Company (sold to Yahoo!) and the start-ups Beatnik, Inc. and Firefly Mobile.

Ms. Marsch served on the Board of Directors of the Ronald McDonald House Charities from 2004 to 2012 and chaired the Audit Committee during her tenure. From 2016 to 2018, she served on the Board of Directors of Upward Women.Org, a global organization that helps senior-level women accelerate their professional development and advance their careers. She also was the Co-Founder and Co-Chair of the Women’s General Counsel Forum of Watermark, a Silicon Valley-based network for women executives, from 2004 to 2016.

A cum laude graduate of the University of Michigan Law School and Ross School of Business, Ms. Marsch also attended the Stanford Graduate School of Business, Executive Development Program. She began her legal career advising corporations at Latham & Watkins.
