Maryellen C. Herringer

Maryellen C. Herringer is an attorney and serves on the boards of a number of corporate and community organizations. Ms. Herringer is presently a member of the Boards of Directors of Wachovia Corporation, a NYSE bank holding company; PG&E Corporation, a NYSE energy-based holding company; its subsidiary, Pacific Gas and Electric Company, a natural gas and electric utility; and ABM Industries Incorporated, a NYSE janitorial and parking services company (where she serves as non- executive Chairman of the Board). Ms. Herringer is a Trustee of Mills College and the University of California at Berkeley Art Museum and Pacific Film Archive and a member of the Advisory Committee of the Benilde Religious Trust. She formerly served on the Boards of Directors of Golden West Financial Corporation, a NYSE savings and loan holding company; its subsidiary, World Savings Bank; and Bank of the West, as well as the American Corporate Counsel Association and the San Francisco Chamber of Commerce.

She also served on the Boards of Trustees of Vassar College, the Exploratorium, St. Mary’s College of California, The Head- Royce School and the Alameda County Hospital Authority. She served as Chair of the Board of Trustees of St. Mary’s College of California and as Chair of the Business Law Section of the State Bar of California and the Committee on Women of the San Francisco Bar Association.

Ms. Herringer was Executive Vice President, General Counsel and Secretary of APL Limited, a NYSE intermodal shipping and rail transportation company based in Oakland, California, from 1991 until completion of its acquisition by Neptune Orient Lines in December 1997. She was a member of the company’s Executive Committee and had responsibility for its legal, risk management, corporate communications and human resources functions, as well as responsibility at various times for its community affairs department, including the APL Foundation and the internal audit and tax departments.

Previously, Ms. Herringer was a partner in the law firm of Morrison & Foerster in San Francisco, where she specialized in corporate transactions (1989-91) and Senior Vice President and General Counsel of Transamerica Corporation, a NYSE insurance and financial services company based in San Francisco, where she had responsibility for the corporation’s legal function; public affairs, including the Transamerica Foundation; human resources; risk management; administration; and corporate secretary’s functions (1981-89). She was also Special Counsel for Allied Business for the San Francisco law firm of Littler & Mendelson (2000), a partner and an associate with the San Francisco law firm of Orrick Herrington & Sutcliffe (1970-81) and an associate with the New York law firm of Davis Polk & Wardwell (1968-69).

Born in Bakersfield, California, Ms. Herringer received an A.B. in Economics from Vassar College in 1965 and a J.D. from the University of California at Berkeley (Boalt Hall) in 1968.
