Carol is an experienced Board Director and skilled senior executive across business strategy, corporate governance, audit, risk management, data privacy, cybersecurity, regulatory compliance, human resources, culture, strategic planning, national security and legal in publicly traded, private and nonprofit organizations. She is currently on the Board of Directors of Wayside Technology Group (NASDAQ: WSTG), a global public IT company providing innovative sales and distribution solutions, and Giant Oak, a private artificial intelligence and data analytics company. Carol also serves as an operating advisor to Liberty Hall Capital Partners, a private equity firm focused on investments in businesses serving the global aerospace and defense industry.
She previously served on the Board of Directors of South University, Argosy University, Alpha Security Group Corp., Holland and Knight Consulting, LLC, Association of Private Sector Colleges and Universities and The National Center for Victims of Crime. She has also been a Trustee of the Air Force Academy Falcon Foundation and served on the Board of Visitors of Temple University School of Law.
With high-impact experience advising CEOs and boards of directors on business strategy, cybersecurity, corporate governance, and risk, Carol serves as a transformation agent to solve complex business problems and enable growth in regulated industries. She has expertise driving turnarounds of multi-billion-dollar public companies and government agencies. Her industry experience includes analytics, big data, cybersecurity, privacy, media, retail, education, transportation and national security, including aerospace and defense.
Carol has held five public company senior executive roles at Comscore, Education Management Corporation, Geeknet, Reed Elsevier/LexisNexis and ChoicePoint, where she focused on global corporate strategy, cybersecurity, human resources and culture, building privacy, governance, compliance and risk management programs, and resolving complex multi-million-dollar false claims, class action litigation and government investigations. Her roles include Corporate Secretary, Chief Legal & Compliance Officer, Chief People Officer, Chief Privacy Officer, Chief Administrative Officer, General Counsel and SVP Privacy & Security.
Carol has also held significant senior leadership and operational roles in the public sector, including at the United States Department of Defense, Department of Justice, Department of Homeland Security and Department of Veterans Affairs. She served in operational roles as the Honorable Under Secretary of the United States Air Force, appointed by the President of the United States and unanimously confirmed by the United States Senate, to lead a $70 billion, 710,000 military and civilian department. Carol also served as Deputy Administrator of the Transportation Security Administration, building and leading the $5.3 billion agency, Executive in Charge/Vice Chairman of the Board of Veterans’ Appeals and Director of the Executive Office for United States Attorneys.
A retired Officer and JAG in the United States Air Force, Carol had a distinguished and highly decorated military career. She is the first enlisted and officer female to hold the second highest position in the Air Force.
Carol speaks at global conferences and symposia as an expert on data privacy, cybersecurity, risk management, compliance, transportation security, national security, employee engagement, diversity, and leadership.
She currently holds a Secret Level national security clearance, is a certified Information Privacy Professional and holds active bar admissions in Florida and Washington, DC. Carol is a member of the National Association of Corporate Directors, International Association of Privacy Professionals and American Bar Association. She has received numerous distinguished awards throughout her career. Among her awards, she Best Legal Department for the National Capital Region, Association of Corporate Counsel, 2018 and Best Compliance and Ethics program (small to mid-cap), Corporate Secretary, 2019.
A graduate of Harvard Business School’s Strategic Leadership Program, Carol earned her L.L.M. from Columbia Law School, J.D. from Temple University and B.A. in Sociology and Criminal Justice from LaSalle University, where she graduated magna cum laude.
