Anya Goldin is an accomplished senior executive and board member who has served on 12 private and public company boards. With over 30 years of experience, Anya has provided strategic and business advice to corporate boards and C-suite executives across six continents in telecommunications, technology, oil and gas, retail, healthcare, pharmaceuticals, collectibles, entertainment, private equity and venture capital industries.

Anya has developed a 360-degree, collaborative approach to problem-solving and crisis prevention that is based on understanding and aligning the diverse interests of all stakeholders, including founders, shareholders, JV partners, lenders, employees and customers. Anya views her role on corporate boards as being a supportive voice who works to prevent and address challenges in proactive ways to maximize shareholder value.

PUBLIC COMPANY CHALLENGES
Anya led 11 NYSE and LSE IPOs, including for an issuer resulting in a 10-fold market cap increase over 10 years, and an $8 billion IPO. She joined boards of two public companies to help them prepare for up listings to NASDAQ (CURE Pharmaceutical (OTCQB: CURR) and Petroteq Energy Inc. (OTCPink: PQEFF; TSXV: PQE)), and understands the demands on the boards and management who prepare for listings and up listings, including recruiting independent directors, obtaining D&O policies, and implementing control, risk management, reporting, disclosure, investor relations, compliance, and corporate governance mechanisms, including FCPA and UKBA policies.

INTERNATIONAL EXPANSION/CROSS-BORDER TRANSACTIONS
As a business leader who has lived and worked for over 20 years across Europe and in the UK, Anya knows how businesses function across diverse cultural, political and regulatory environments, and the unique challenges facing US companies investing abroad via acquisitions, JVs, and brown and green field operations. She currently advises several Boards in the US, Ireland and Denmark in connection with cross border issues, including governance, taxation, IP, employment, privacy and data security.

ACQUISITIONS AND RESTRUCTURINGS

Through her many years of leading M&A deals, Anya can address growing pains of companies going through organic development or expansion by acquisitions, as well as challenges posed by integration, scaling up or down and driving synergies.

INVESTMENTS AND TECHNOLOGY/AI START-UPS
As a Vice Chair of a Luxembourg regulated $350 million PE fund, a director of Cayman and US funds, an investor and co-founder of three starts ups and a SPAC, Anya understands entrepreneurial challenges, and how to source and evaluate investment opportunities, and operate portfolio companies to maximize their exit value. One of the companies that she co-founded is Provenance Laboratories, a technology start-up developing AI-driven technology for authentication, anti-counterfeiting, and provenance protection. Another AI company that Anya recently co-founded is building a proprietary AI platform that can run on a single computer, solves complex problems, and allows business to create their own AI business solutions. These ventures require her to stay current in a field that has the potential of reshaping and adding value to many businesses.

CRISIS PREVENTION AND INVESTIGATIONS
As a shareholder/founder representative, and trusted advisor to many boards, Anya has successfully guided corporate boards and independent committees through SEC, NYSE and DOJ investigations and settlements, including an $800 million settlement reached by a NYSE-listed company in connection with FCPA issues. Anya recently conducted an internal investigation on behalf of a public company board, has guided boards and executives in connection with MeToo matters – both real and fabricated, and understands that overreaction can lead to more harm. Anya excels in crisis situations but believes in striving for prevention.

OPERATIONS AND TEAM MANAGEMENT

As a C-Suite executive of a $20 billion company supervising 300 lawyers, and a member of the executive team at Latham & Watkins who led one of the firm’s most profitable offices, Anya understands pressures faced by management teams and their interactions with boards. She has guided boards and executives in establishing annual and Long-Term Incentive Plans, and aligning board and management compensation with the maximization of shareholder value.

CONFLICTS AND ETHICS
As an advisor to boards, including Global Growth Holdings, Inc., a multi-billion dollar diversified holding company, and Beckett Collectibles, a leading collectibles grading and authentication company, with multiple stakeholders, including independent directors, shareholder representatives, lenders, observers, regulators and independent trustees, Anya handles multiple and potentially conflicting interests to minimize friction and achieve optimal outcomes.

Anya holds a JD from University of California Berkeley School of Law, and a BA in Mass Communications from University of California Berkeley, graduating in the top ten percent of her class with both degrees.
